On May 18, 2023, the Michigan Court of Appeals issued two separate opinions affirming circuit court victories for Aloia Law clients in two unrelated shareholder/membership disputes. Aaron Keyes, a partner at Aloia Law, served as lead counsel in both cases and their subsequent appeals. “I’ve won plenty of cases in the Court of Appeals, but never two in one day,” said Keyes.
In Michigan Court of Appeals Case Number 361114, Mr. Keyes successfully argued that the Court of Appeals should affirm the Oakland County Circuit Court’s dismissal of a lawsuit filed against Aloia Law’s client, who is a current member of a real estate holding company. The plaintiff/appellant in that case claimed to be a former member of the company and sued Aloia Law’s client for approximately $3.5 Million Dollars in damages stemming from claims of Conversion, Breach of Contract, Unjust Enrichment, Fraud, Breach of Fiduciary Duty, and Membership Oppression, among others. After oral arguments were conducted on May 10, 2023, the Court of Appeals affirmed the Circuit Court’s dismissal in an unpublished opinion dated May 18, 2023.
In Michigan Court of Appeals Case Number 360873, Mr. Keyes successfully argued that the Court of Appeals should affirm the Macomb County Circuit Court’s entry of a $375,000.00 judgment in favor of Aloia Law’s client, a former shareholder of a corporation. The Circuit Court held that Aloia Law’s client was an intended third-party beneficiary of a contract made between the remaining shareholders, and not only granted the judgment, but also dismissed the defendant’s/appellant’s $375,000.00 counterclaim for Unjust Enrichment. After oral arguments were conducted on May 3, 2023, the Court of Appeals affirmed the Circuit Court’s dismissal in an unpublished opinion dated May 18, 2023.
